1. Introduction and Acceptance of Terms

Welcome to Synapik! Synapik Inc. ("we," "us," "our," "Synapik") provides its services (described below) to you through its website(s), including but not limited to www.synapik.com (the "Site"), and through its mobile applications and related services (collectively, such services, including any new features and applications, and the Site, the "Service(s)"), subject to the following Terms of Service (as amended from time to time, the "Terms of Service").

By accessing, browsing, or using the Service, including purchasing our smart home devices, accessories, and software ("Products"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these terms, you may not access or use the Services.

2. Eligibility and Account Registration

The Services are intended for users who are at least the age of majority in their state or country of residence (typically 18 years old). By using the Services, you represent and warrant that you meet this age requirement.

To access certain features of the Services, such as to make a purchase or control your Products remotely, you must register for an account ("Account"). You agree to:
a) Provide accurate, current, and complete information during registration.
b) Maintain and promptly update your Account information to keep it accurate.
c) Maintain the security of your password and accept all risks of unauthorized access to your Account.
d) Notify us immediately of any unauthorized use of your Account.
You are responsible for all activities that occur under your Account.

3. Products, Orders, and Payment

a. Product Descriptions: We strive to be as accurate as possible in describing our Products. However, we do not warrant that product descriptions, pricing, or other content on the Service is accurate, complete, reliable, current, or error-free.

b. Orders: Your order to purchase a Product is an offer to buy that Product. All orders are subject to our acceptance. We may refuse or cancel any order for any reason, including limitations on quantities available, inaccuracies in product or pricing information, or suspected fraud.

c. Pricing and Payment: You agree to pay all charges incurred by you or any users of your Account at the prices in effect when such charges are incurred. You are responsible for any taxes applicable to your transaction. We use third-party payment processors (e.g., Stripe, PayPal) to bill you. Your payment is subject to the terms of those processors.

d. Shipping and Title: Shipping times are estimates only. Title and risk of loss for Products pass to you upon our delivery to the carrier.

4. Software and Firmware

a. License: The software embedded in our Products and any accompanying documentation, mobile applications, or software provided via the Service ("Software") are licensed, not sold, to you. Subject to your compliance with these Terms, Synapik grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software solely for your personal, non-commercial purposes in connection with your use of the Product.

b. Updates: From time to time, Synapik may provide automatic or manual updates to the Software ("Firmware Updates"). These Updates may include bug fixes, feature enhancements, security patches, and new functionalities. You agree to accept and install these Updates to ensure the continued security, compatibility, and performance of your Synapik Products. Failure to do so may result in reduced functionality or security vulnerabilities for which we are not responsible.

5. User Conduct and Restrictions

You agree not to engage in any of the following prohibited activities:
a) Copying, distributing, or disclosing any part of the Service or Software in any medium.
b) Using any automated system (e.g., "robots," "spiders") to access the Service.
c) Transmitting spam, malware, or any other malicious code.
d) Interfering with or disrupting the integrity or performance of the Service or the data contained therein.
e) Attempting to gain unauthorized access to the Service, its related systems, or networks, including other users' Accounts or smart home systems.
f) Reverse engineering, decompiling, disassembling, or attempting to derive the source code of any Software.
g) Using the Products or Service for any illegal purpose or in violation of any local, state, national, or international law.

6. User Content and Feedback

The Service may allow you to post content, such as device names, settings, and configurations ("User Content"). You retain all rights to your User Content. By posting it, you grant us a worldwide, royalty-free license to use, host, and display your User Content solely for the purpose of providing and improving the Services to you.

Any feedback, comments, or suggestions you provide regarding Synapik or our Products is entirely voluntary. We may use such feedback without any obligation or compensation to you.

7. Privacy and Data Security

Your privacy is critically important to us. Our Privacy Policy details how we collect, use, and share your information. Because our Products involve the processing of data from your home environment (e.g., usage patterns, environmental data, device status), we employ robust security measures designed to protect your data. However, no system is completely secure. You understand and agree that you use the Service and Products at your own risk.

8. Intellectual Property Rights

The Service, its original content, features, functionality, Software, and Products are and will remain the exclusive property of Synapik and its licensors. The Service and Products are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Synapik.

9. Disclaimer of Warranties; Limitation of Liability

a. No Guarantee of Uninterrupted Use: THE SERVICE AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. YOUR USE OF THE PRODUCTS AND SERVICE IS AT YOUR SOLE RISK.

b. Smart Home Functionality Disclaimer: SYNAPIK PRODUCTS ARE PART OF A COMPLEX SMART HOME ECOSYSTEM THAT RELIES ON YOUR HOME'S INTERNET CONNECTION, COMPATIBLE DEVICES, AND THIRD-PARTY SERVICES. WE DO NOT WARRANT THAT THE PRODUCTS WILL BE COMPATIBLE WITH ALL THIRD-PARTY HARDWARE OR SOFTWARE. WE ARE NOT RESPONSIBLE FOR THE FUNCTIONING OF THIRD-PARTY SERVICES.

c. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SYNAPIK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (IV) THE FAILURE OF A PRODUCT TO PERFORM A FUNCTION; OR (V) ANY OTHER MATTER RELATING TO THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Synapik and its licensors and suppliers from any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms of Service; (c) your violation of any third-party right, including any copyright, property, or privacy right; or (d) any claim that your User Content caused damage to a third party.

11. Governing Law and Dispute Resolution

For Users in the European Union (EU): These Terms and any dispute arising out of or in connection with them shall be governed by the laws of [Ireland/Netherlands/Germany - a common EU base for US companies]. Any disputes shall be subject to the exclusive jurisdiction of the courts of [that country]. This does not deprive you of your mandatory consumer rights under the laws of your country of residence.

For Users in the United States and all other regions: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

12. Changes to Terms of Service

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
